Effective Date: 14 October 2026 | Version: 1.1
Preamble
These Terms of Use (the "Terms") are entered into between Shenzhen GUROBOT Technology Co., Ltd. (深圳市云希谷科技有限公司 "GUROBOT", "we", "us" or "our") and you ("you" or "User") in relation to your access to and use of GUROBOT's official website, including its Chinese, English and other language versions and any microsites, landing pages or web forms operated by us (collectively, the "Site").
The Site is operated by GUROBOT to present our children's smart-hardware products and technology solutions and to provide a channel for submitting business cooperation enquiries.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE. BY ACCESSING, BROWSING OR OTHERWISE USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE TERMS IN FULL. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, PLEASE DISCONTINUE YOUR USE OF THE SITE IMMEDIATELY.
1. Acceptance and Scope
1.1 These Terms take effect from the moment you first access the Site. If you access the Site or submit information on behalf of a company, institution or other organisation, you represent and warrant that you are duly authorised to bind that entity to these Terms; in that case "you" refers to both that entity and its authorised representative.
1.2 We may update these Terms from time to time to reflect changes in applicable law, regulatory requirements or our business. Updates take effect as described in Clause 15.
1.3 These Terms govern your access to and use of the Site only. Any rights and obligations arising from product purchases, ODM/OEM development, technology licensing, platform integration or other business cooperation between you and GUROBOT are governed exclusively by the written agreement signed by both parties (including purchase orders, technical specifications, non-disclosure agreements and quality agreements). In the event of any conflict, the signed written agreement prevails to the extent of the specific subject matter it expressly covers.
2. Important Notice: Business-to-Business Nature of the Site
2.1 The Site is a business-to-business information channel. It does not sell to end consumers. The Site does not provide online ordering, shopping cart, checkout or payment functionality, and no contract of sale is concluded through the Site.
2.2 Product descriptions, images, specifications, solution overviews, indicative pricing, lead times, capacity, certification status, case studies and credentials shown on the Site are presented for information and business-introduction purposes only. They do not constitute an offer, a quotation, a representation, a warranty or any binding commitment, and they have no effect of concluding a contract.
2.3 A transaction can only be concluded after commercial discussion, evaluation, sample validation, qualification review and execution of a written agreement by both parties. GUROBOT reserves the right to decline any enquiry, order or cooperation request without giving reasons.
2.4 Nothing on the Site constitutes an absolute or guaranteed performance claim. GUROBOT does not use, and does not endorse, superlative or absolute claims in relation to its products. Actual product performance is determined by the signed technical specification, sample test results and the written agreement.
3. Enquiries and Submitted Information
3.1 You may submit an enquiry or cooperation request through pages such as "Business Cooperation". Depending on the form, you may be asked to provide your name, telephone number, email address, company name, cooperation model, products of interest, estimated volume and a project description (final fields as shown on the page).
3.2 You represent and warrant that all information you submit is true, accurate, complete and lawful, and that it:
(a) does not infringe the rights of any third party;
(b) does not violate applicable law, regulation or public order;
(c) contains no false or misleading statements and no viruses, malicious code or other harmful components;
(d) contains no trade secrets, personal information or confidential technical materials that you are not authorised to disclose.
3.3 We will use information you submit only for business communication, requirements assessment, proposal and quotation preparation, customer and project management, and necessary compliance and record-keeping. How long we retain it, how we protect it, your rights, and any cross-border transfer are described in our Privacy Policy.
3.4 Product parameters, appearance, configuration, lead times, certification status, availability and any prices shown on the Site are indicative only and may change due to product iterations, supply chain conditions, certification progress or customisation requirements. The final binding terms are those set out in the signed written agreement and in the version-controlled technical specification / datasheet formally issued by GUROBOT.
3.5 Submitting an enquiry or requesting documents does not create any commitment on our part. We may review your request, ask for additional qualification documents, and require a signed non-disclosure agreement (NDA) before releasing detailed specifications, datasheets, BOMs, test reports, certificates or quotations.
4. Permitted Use and Limited Licence
4.1 Subject to your continuing compliance with these Terms, GUROBOT grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site and to display its content on your device, solely for the purpose of learning about our products and solutions and conducting internal business evaluation.
4.2 You may quote limited extracts of publicly available text and images from the Site for purposes of introduction, reporting, commentary or internal evaluation, provided that you attribute the source (GUROBOT's full name and URL) and do not distort, alter or misrepresent the original meaning.
4.3 Except as expressly permitted in this Clause 4, you may not copy, modify, translate, adapt, compile, distribute, display, publish, rent, sublicense, sell or otherwise exploit any content of the Site. Any commercial use beyond the scope of this licence requires our prior written consent.
5. Prohibited Conduct
You must not:
5.1 Scraping and automated access — use crawlers, robots, scrapers, data-mining tools, bulk-download utilities or other automated means to access, copy, scrape or store any content of the Site, or circumvent any robots.txt directives, rate limits or technical protection measures.
5.2 Reverse engineering — decompile, disassemble, reverse engineer, decrypt or otherwise attempt to derive the source code, algorithms or architecture of the Site, its underlying code, servers or interfaces, or any software, firmware (including GUROBOT's proprietary real-time operating system GuAIOS), SDK or sample code made available through the Site, except to the extent expressly permitted by applicable law.
5.3 Training and competitive data use — use any content of the Site (including product images, specifications, technical copy, drawings, screenshots and firmware descriptions) to train, fine-tune, distil, evaluate or enhance any machine-learning or artificial-intelligence model, dataset or corpus, or to build any product database, parameter library or benchmarking/competitor database that competes with or substitutes for GUROBOT's products.
5.4 Infringement and unfair competition — remove, obscure or alter any copyright, trademark, patent or other proprietary notice appearing on the Site; or imply in any way that GUROBOT endorses, certifies or authorises your products, services or content without our written consent.
5.5 Security and integrity — interfere with or disrupt the operation of the Site; introduce viruses, trojans or other malicious code; conduct or participate in any network attack; or attempt unauthorised access to non-public systems, accounts or data.
5.6 Unlawful use — use the Site for any purpose that violates applicable law, harms national or public interests, or infringes the rights of others.
5.7 Facilitation — assist, procure or enable any third party to do any of the above, or provide tools, accounts or channels for such conduct.
6. Intellectual Property
6.1 The Site as a whole and all of its content — including page design and layout, text, images, graphics, audio and video, logos and marks, product names and model numbers, software code, firmware (including GuAIOS and its middleware, drivers and algorithms), technical documentation, specifications, solution descriptions, databases and interface design — is owned by GUROBOT, its affiliates or its licensors, and is protected by copyright, trademark, patent, trade-secret and unfair-competition law.
6.2 "GUROBOT (including its stylised forms and any confusingly similar variants)", "小谷云", "Xiaogu Cloud", "GuAIOS", together with our product model names, product appearance and packaging designs, are trade marks, trade names or commercial identifiers owned by, or the subject of pending applications by, GUROBOT. No person may use, reproduce, imitate or apply to register identical or confusingly similar marks without GUROBOT's prior written permission.
6.3 These Terms do not transfer, licence or assign any of GUROBOT's intellectual property rights to you, other than the limited licence expressly granted in Clause 4. All rights not expressly granted are reserved.
6.4 If you believe any content on the Site infringes your rights, please send a written notice to the contact details in Clause 23, including: proof of your rights, the specific URL of the content, the basis of your ownership or authorisation, your contact details, and a statement of accuracy. We will handle qualifying notices in accordance with applicable law.
7. Third-Party Trade Marks and Rights
7.1 Third-party names, trade marks, trade names, logos, chip part numbers and technology identifiers that may appear on the Site (for example Allwinner / 全志 and its related marks) remain the property of their respective owners. Any reference is made solely to describe our solutions, compatibility or technology sources and does not constitute any licence, authorisation, endorsement, or representation of an agency, joint venture or affiliation with such owner.
7.2 Specifications, availability, certification and technical support relating to third-party technologies, platforms or chipsets are subject to the official documentation and policies of the respective owner.
8. Product Information and Specifications
8.1 We use reasonable efforts to keep the information on the Site accurate and up to date, but we do not warrant that it is accurate, complete, error-free or continuously updated. The Site is provided on an "as is" basis.
8.2 Because of ongoing product iteration, supply chain changes, certification progress, local regulatory requirements and customisation, specifications, appearance, features, configuration, software versions, packaging and delivery status may change without individual notice.
8.3 Certain detailed technical parameters, bills of materials (BOMs), interface definitions, test reports, certificates and pricing are GUROBOT trade secrets or are subject to confidentiality obligations owed to third parties, and are released only through business channels to vetted customers. GUROBOT may decline to release such materials, or may require a signed NDA before doing so.
8.4 Product images, renders, diagrams and videos may differ from final production units. Colours, materials and dimensions are determined by the physical product and the signed technical specification.
8.5 Where products are intended for use by children, applicable age ranges, functionality and safety instructions are determined by the product labelling, user manual and the mandatory standards and certifications of the destination market. Nothing on the Site is a representation that a product is fit for any particular use case or satisfies the market-access requirements of any particular jurisdiction.
8A. Engineering Samples, Prototypes and Technical Materials
8A.1 Title reserved. Any engineering sample, prototype, development board, sample chip, mechanical part, fixture, firmware or technical material (including specifications, schematics, BOMs, interface definitions, test reports and certificates; together "Deliverables") provided by GUROBOT to you remains the property of GUROBOT, its affiliates or its licensors, together with all intellectual property rights in it. Delivery, possession or payment does not transfer title. Unless otherwise agreed in writing, Deliverables are supplied for evaluation purposes only.
8A.2 Permitted use. You may use the Deliverables solely to evaluate, test and make an internal selection decision, and only within your own organisation or group. Any use for commercial production, sale, rental, resale, provision of services to third parties or any other commercial exploitation requires GUROBOT's prior written consent and a signed agreement.
8A.3 Prohibited conduct. Without GUROBOT's prior written consent you must not: (a) sell, rent, lend, gift, pledge or otherwise dispose of the Deliverables; (b) disassemble, de-cap, measure, copy the layout of, clone, imitate or procure any third party to do any of the foregoing; (c) copy, modify, decompile, disassemble or reverse engineer them, or derive their source code, structure or algorithms, except to the extent expressly permitted by applicable law; (d) use them to train, fine-tune, distil or enhance any machine-learning or artificial-intelligence model, dataset or corpus; (e) disclose or make them available to any third party, including displaying undisclosed appearance or parameters at exhibitions, in public channels, on social media or in review content; or (f) remove, obscure or alter any serial number, marking, proprietary notice or confidentiality legend on them.
8A.4 Return and destruction. On conclusion of the evaluation, termination of discussions, or GUROBOT's written request, you shall, within fifteen (15) days, return physical Deliverables in good condition, or destroy technical materials and all copies (including electronic copies) and, if requested, confirm this in writing. You shall notify GUROBOT promptly if any Deliverable is lost, damaged or obtained by a third party, and shall bear the resulting responsibility.
8A.5 Enquiries. GUROBOT may make reasonable and necessary enquiries about the custody, use and whereabouts of the Deliverables and you shall answer truthfully. This clause does not give GUROBOT any right of inspection over your premises, equipment or data; any on-site verification requires your separate written consent or must be based on an agreement signed by both parties.
8A.6 Remedies for breach. If you breach this clause, GUROBOT may require you to cease the infringing conduct immediately, to return or destroy the Deliverables, and to compensate GUROBOT for the actual loss suffered (including reasonable legal fees, evidence-collection costs, notarisation costs, expert fees and litigation or arbitration costs), and may seek injunctive relief, asset preservation and any other remedy available at law. This clause does not exclude any other remedy GUROBOT may have.
8A.7 Relationship with specific agreements. If the parties have separately signed a non-disclosure agreement (NDA), sample supply agreement, development agreement or supply agreement covering the same subject matter, that agreement prevails over this clause. This clause is a minimum notice and restriction applicable where no such agreement has been signed, and is not a waiver of any of GUROBOT's rights.
8A.8 Limited licence to firmware and software. GUROBOT grants you only a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to the firmware, GuAIOS and their components (including object code, source code, bootloaders, middleware, drivers, algorithms and model parameters, configuration files and scripts, and build/flash toolchains) pre-installed in or delivered with the Deliverables, and solely to the minimum extent necessary (i) for evaluation purposes, (ii) on the specific hardware delivered by GUROBOT and (iii) during the evaluation period. Without prior written consent you shall not, and shall not permit any third party to: (a) copy, extract, image, dump or read back from flash storage, or otherwise obtain any copy of the firmware; (b) decompile, disassemble, translate, adapt, modify or create derivative works from it; (c) port, flash or load it onto any other hardware, device or emulator; (d) distribute, sublicense, rent, host or otherwise make it available to any third party; or (e) remove, alter, circumvent or defeat any serial number, watermark, digital signature, encryption, secure boot, debug lock or read-out protection. These restrictions are relaxed only to the extent that applicable law expressly and mandatorily permits the conduct and does not permit the restriction to be excluded by contract.
8A.9 No teardown, measurement or third-party manufacturing. Without GUROBOT's prior written consent you shall not, and shall not procure or permit any third party to: (a) disassemble, unseal or break any anti-tamper seal; (b) conduct X-ray, CT, cross-sectioning, decapsulation or microscopic reverse analysis of any PCB, component or structure; (c) measure, 3D-scan or otherwise reproduce its shape, dimensions or internal layout; (d) copy the board, derive schematics, clone layouts (including Gerber data) or read device contents; (e) design, manufacture or have manufactured by any third party any software, firmware, product, component or appearance substantially similar to the foregoing; or (f) hand any Deliverable to a contract manufacturer, design house, repair shop or "teardown/review" media. The results and any derivative output are deemed derivative results owned by GUROBOT; you shall promptly deliver all copies to GUROBOT and cease all use, and GUROBOT owes no compensation. No defence may be based on information being obtained by your own measurement or reverse engineering. You are jointly and severally liable for breaches by your personnel, affiliates and any third party to whom you grant access.
8A.10 Trade secrets; precondition to disclosure. Detailed parameters, bills of materials and component sources, interface definitions, schematics and PCB design files, layout rules, algorithms and model parameters, cloud orchestration configurations, pilot-yield and failure-analysis data, test reports and underlying certification reports are trade secrets of GUROBOT or of third-party rights holders, and disclosure does not affect that status. GUROBOT may require you to sign GUROBOT's standard form NDA as a precondition to disclosure, and may deliver such materials on a per-request, traceable basis (including watermarking, encryption and limited access periods). You shall apply safeguards no less protective than those applied to your own secrets of like kind: restrict access to personnel with a need to know, maintain an access log, prohibit downloading, forwarding and printing, store the materials on controlled media, and delete or return them once the need ceases.
8A.11 Measure of damages. Recoverable amounts include all reasonable expenses incurred by GUROBOT in stopping the infringement: attorneys' fees, notarial fees, expert appraisal and identification fees, evidence-collection and preservation costs, travel expenses, litigation or arbitration costs, security deposits or insurance premiums, and internal expert and third-party investigation costs. GUROBOT may also claim actual loss, the infringer's unlawful gains, a reasonable multiple of licence fees, and punitive damages where permitted by applicable law.
8A.12 No pre-emptive filings; no destruction of novelty. Without GUROBOT's prior written consent you shall not apply for or register, in any country or jurisdiction, any patent, utility model, design, trade mark, integrated circuit layout-design or domain name in respect of, or relating to, the Deliverables or any technology, appearance, mark, name or design comprised in them, nor procure any third party to do so; any such application or registration shall be assigned to GUROBOT free of charge. You shall also not disclose, publish, exhibit, sell or otherwise make available to the public any undisclosed appearance or technology relating to the Deliverables, whether during or after the evaluation, so as not to destroy the novelty required for GUROBOT to obtain patent or other industrial property protection. You shall compensate GUROBOT for any loss of, or prejudice to, such rights caused by your breach of this paragraph.
9. Third-Party Links and Services
9.1 The Site may contain links to third-party websites or applications, and may integrate third-party technical services (for example, WeCom / QR-code contact entry points, DingTalk Yida or similar form and workflow tools, map and location services, web analytics and statistics services, content delivery and email delivery services).
9.2 Such links and third-party services are provided for convenience only and do not constitute any approval, warranty or endorsement by GUROBOT of their content, products, services or privacy practices. Your use of them is at your own risk and is governed by the terms of the relevant third party. GUROBOT is not a party to and accepts no liability for such use, except as required by applicable law.
9.3 The Site is not guaranteed to be uninterrupted, timely, error-free or absolutely secure. We use reasonable efforts to maintain availability, but we are not liable, to the extent permitted by law, for interruptions, delays, data loss or access failures caused by equipment faults, network or telecom outages, power failures, government action, DNS failures, unavailability of third-party services, force majeure or other causes beyond our reasonable control.
9.4 GUROBOT does not guarantee 24/7 online customer support.
10. Disclaimer of Warranties
10.1 To the fullest extent permitted by law, the Site and all content on it are provided "as is" and "as available". GUROBOT disclaims all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, uninterrupted availability and security, except where such warranties cannot be excluded under applicable law.
10.2 To the fullest extent permitted by law, GUROBOT is not liable for:
(a) any indirect, incidental, special, punitive or consequential loss arising from your access to, use of, or inability to use the Site;
(b) loss of profits, revenue, turnover, goodwill, anticipated returns, data, orders or business opportunities;
(c) loss arising from any commercial judgement, procurement decision, investment decision or technical selection made in reliance on content of the Site;
(d) loss arising from information you submit that is untrue, inaccurate or in breach of these Terms;
(e) loss arising from your use of third-party links, services or products.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, GUROBOT's total aggregate liability arising out of or in connection with these Terms and the Site shall not exceed the higher of:
(a) the total amount actually paid by you to GUROBOT under the relevant transaction giving rise to the claim; or
(b) where no transaction has taken place between the parties, RMB 50,000 (Renminbi Fifty Thousand Yuan).
11.2 This limitation applies to liability in contract, tort and under any other legal theory, to the maximum extent permitted by applicable law.
11.3 Exclusions. This limitation does not apply to: (a) loss caused by GUROBOT's wilful misconduct or gross negligence; (b) death or personal injury; or (c) any liability that cannot be limited or excluded under applicable law. Under the Civil Code of the People's Republic of China, clauses excluding liability for personal injury, and clauses excluding liability for property loss caused wilfully or by gross negligence, are void.
11.4 Nothing in these Terms limits any non-waivable statutory rights you may have.
11.5 Exclusions from the limitation. The cap in Clause 11 (including the RMB 50,000 cap where no transaction has taken place) does not apply to the following, in respect of which GUROBOT may recover in full without any cap: (a) infringement of any intellectual property right of GUROBOT or its affiliates or licensors, including copyright, patent rights, trade marks, trade secrets and integrated circuit layout-design rights; (b) breach of any obligation under Clause 5 (Prohibited Conduct), Clause 6 (Intellectual Property) or Clause 8A (Engineering Samples, Prototypes and Technical Materials), including unauthorised reverse engineering, teardown, measurement, board copying, cloning, volume production, resale, provision to third parties, and use of materials for model training or third-party/competitive databases; (c) breach of any confidentiality obligation, or disclosure or misuse of GUROBOT's technical materials, business information or personal data; (d) intentional misconduct or gross negligence; (e) failure to return or properly safeguard the Deliverables, or any damage to, loss of or unauthorised disposition of them; or (f) any other circumstance in which limitation or exclusion of liability is prohibited by applicable law. Nothing in this Clause or Clause 11 shall be construed as a licence by GUROBOT, or as any agreement by GUROBOT to accept any consideration, in respect of any unauthorised use, copying, imitation or disclosure. In respect of the foregoing GUROBOT may claim concurrently liquidated damages, compensation for actual loss, disgorgement of the infringer's profits, statutory or punitive damages, and all reasonable enforcement costs.
12. Indemnity
You agree to indemnify and hold harmless GUROBOT, its affiliates and their respective directors, employees and agents from and against any claim, action, administrative investigation, penalty, loss or expense (including reasonable legal fees, evidence-collection costs and litigation or arbitration costs) arising out of your breach of these Terms, your violation of applicable law, or any information or material you submit that infringes the rights of a third party.
13. Privacy and Data Protection
13.1 GUROBOT takes the protection of personal information seriously. Our collection, use, storage, sharing, disclosure and cross-border transfer (if any) of personal information is governed by our Privacy Policy, which forms part of these Terms.
13.2 By submitting personal information through the Site, you confirm that you have read and agree to the Privacy Policy, including its description of the purposes, methods, scope and retention of processing and of your rights and how to exercise them. If you submit contact details of your employees or colleagues, you must ensure that those individuals have been properly informed and, where legally required, have consented.
13.3 The Site may use cookies and similar technologies to support core functionality, measure traffic and improve the experience. Details are set out in the Privacy Policy or cookie notice.
14. Minors
14.1 The Site is intended for corporate customers, institutional buyers and adult professionals. It is not directed to children or minors and does not offer any online product or service to children through the Site.
14.2 Persons under the age of 18 should not submit any personal or business information through the Site. If we learn that we have collected personal information from a minor without the consent of a parent or guardian, we will delete or anonymise it as soon as practicable in accordance with applicable law. A parent or guardian who believes their child has provided information to us may contact us using the details in Clause 23.
14.3 Some GUROBOT products are designed for use by children. However, such products are supplied to qualified corporate or institutional customers, who are responsible for their own compliance with local requirements on children's products, children's personal information and product safety.
15. Changes to These Terms
15.1 We may revise these Terms to reflect changes in law, regulation, our business or the functionality of the Site.
15.2 Revised Terms will be posted on the Site with a new effective date. For material changes (for example changes to your rights and obligations, the limitation of liability, or dispute resolution), we will give reasonable notice, such as a prominent announcement on the Site.
15.3 Revised Terms take effect upon posting, or on the stated effective date. Your continued access to or use of the Site after the revised Terms take effect constitutes your acceptance of them. If you do not accept the revisions, please stop using the Site.
15.4 We recommend reviewing the current version of these Terms each time you submit an enquiry or request documents.
16. Suspension and Termination
16.1 If you breach these Terms or are suspected of unlawful conduct, GUROBOT may, without prior notice, restrict, suspend or terminate your access to the Site (including by blocking source IP addresses, rejecting form submissions and revoking permission to quote or reproduce Site content), without prejudice to any other remedy available at law.
16.2 GUROBOT may also modify, suspend or withdraw any part of the Site at any time for reasons of security, compliance, technical maintenance or business adjustment.
16.3 Clauses 1.3, 6 to 11, 13 and any other clause which by its nature should survive will continue to apply after you cease using the Site.
17. Force Majeure
17.1 GUROBOT is not liable for any failure or delay in performing its obligations under these Terms to the extent caused by an event of force majeure, except as otherwise provided by law.
17.2 "Force majeure" means an unforeseeable, unavoidable and insurmountable objective event, including earthquake, typhoon, flood, fire and other natural disasters; war, armed conflict and riot; acts of government and changes in law, regulation or regulatory policy; epidemic and epidemic-control measures; strikes; and large-scale network or power outages and basic telecommunications failures.
17.3 The affected party shall notify the other within a reasonable period where practicable and take reasonable measures to mitigate loss.
18. Severability
If any provision of these Terms is held invalid, void or unenforceable, the remaining provisions remain in full force. The parties shall substitute a lawful and enforceable provision that most closely reflects the commercial purpose of the invalid provision, and GUROBOT may amend these Terms under Clause 15.
19. Entire Agreement
19.1 These Terms, together with the Privacy Policy and any other rules expressly referenced and incorporated on the Site, constitute the entire agreement between you and GUROBOT regarding access to and use of the Site, and supersede any prior oral or written understanding, statement or agreement on that subject.
19.2 These Terms do not replace or modify any written agreement signed by the parties for a specific transaction. In case of conflict, Clause 1.3 applies.
19.3 A failure or delay by GUROBOT in exercising any right under these Terms is not a waiver of that right. Any waiver must be given in writing.
20. Export Control and Sanctions Compliance
20.1 Products, technology, software, firmware and technical documentation provided by GUROBOT (including samples, evaluation items and technical materials) may be subject to the export control, customs, sanctions and trade-compliance laws and regulations of the PRC and other applicable jurisdictions. You undertake to comply with all such applicable laws and regulations.
20.2 Without GUROBOT's prior written consent and any required government permit or approval, you shall not export, re-export, transfer or otherwise make available any product, technology, software, firmware or technical documentation provided by GUROBOT to any restricted or sanctioned country, region, entity or individual, or use it for any end-use prohibited by applicable laws and regulations.
20.3 You represent and warrant that neither you nor, to your knowledge, any party acting on your behalf is listed on any applicable restricted-party, sanctions or export-control list (including those published by the relevant authorities of China, the United Nations, the United States and other jurisdictions). If any such circumstances change, you shall immediately notify GUROBOT in writing. Any breach of this Article that causes loss to GUROBOT shall entitle GUROBOT to claim full compensation.
21. Governing Law and Dispute Resolution
21.1 Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the laws of the People's Republic of China, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
21.2 Consultation. The parties shall first attempt to resolve any dispute through good-faith consultation within thirty (30) days after written notice of the dispute.
21.3 Dispute resolution.
(a) For disputes involving a foreign party or otherwise of a foreign-related nature, the dispute shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in Shenzhen, PRC, in accordance with its then-current arbitration rules. The tribunal shall consist of one (1) arbitrator, the language of the arbitration shall be Chinese, or another language agreed by both parties, and the award shall be final and binding on both parties.
(b) For other disputes, the parties submit to the jurisdiction of the people's court with jurisdiction at GUROBOT's place of domicile (Nanshan District, Shenzhen, PRC).
21.4 Mandatory local law. Nothing in these Terms excludes or limits any right or remedy you may have under the mandatory law of your country of residence that cannot be waived by agreement. To the extent these Terms conflict with such mandatory law, that law prevails to the minimum extent required, and the remainder of these Terms continues to apply. The Site is a business-to-business channel and is not directed to consumers; these Terms do not create any consumer relationship.
22. Language
These Terms are published in Chinese, English and possibly other languages. In the event of any conflict between language versions, the Chinese version prevails.
